Our client is seeking a midlevel corporate associate with experience in emerging companies and venture capital for their Southern California offices, preferably in Century City. The ideal candidate will have a background in advising emerging companies and venture capital investors on corporate and transactional matters, including formation, exit, venture capital financing, corporate governance, mergers and acquisitions, joint ventures, and strategic transactions. Responsibilities include drafting and negotiating financing documents, providing legal guidance on governance issues, conducting due diligence, and acting as outside corporate counsel. Candidates must have a Juris Doctor (J.D.) from an accredited law school, admission to the California Bar, 4-6 years of relevant experience, strong academic credentials, and excellent research and writing skills.
